HMRC EIS/SEIS
The UK has some of the most tax-efficient and efficient investment schemes in the world under the Enterprise Seed Investment Scheme (SEIS) and the Enterprise Investment Scheme (EIS). These allow qualified companies to raise capital from UK taxpayers, providing qualified investors with very generous tax breaks and thus reducing the risk of large investments. their investment.
Becoming a qualified business can help you attract investors and we can help you do this by applying for SEIS/EIS approval from HMRC (known as ‘money security’) ) that many investors will want to see before committing to invest in your business.
With our extensive experience, we can help you avoid some of the common (and less common) pitfalls that can cause problems or even disqualify your business in the first place.
So whether you want advice on your company’s eligibility for SEIS and/or EIS, or whether you want to purchase insurance in advance, or whether you need help preparing a shareholder agreement and terms of association plan or not, we will be happy to share our expertise and help you.

Benefits
HMRC’s Enterprise Investment Scheme (EIS) and Seed Enterprise Investment Scheme (SEIS) are tax incentive programs designed to encourage investment in small, high-risk companies. Some benefits of these programs include:
Tax relief: Investors in EIS and SEIS-eligible companies can receive generous tax relief on their investments, including income tax relief and capital gains tax relief. This can make investments in these companies more attractive and reduce the overall risk of the investment.
Support for small businesses: EIS and SEIS provide vital funding for small, high-risk companies that may struggle to secure financing through traditional channels. This can help to spur innovation, entrepreneurship, and economic growth.
Portfolio diversification: EIS and SEIS investments can provide investors with a way to diversify their portfolios and potentially achieve higher returns than more traditional investments.
Social impact: EIS and SEIS investments can support socially and environmentally responsible companies, helping to address important social and environmental issues.
Job creation: EIS and SEIS investments can help to create jobs in small, high-risk companies, contributing to overall economic growth and prosperity.
To be eligible for SEIS, a company must be small and unlisted, have been trading for up to 2 years, have total assets of less than £200,000 and have fewer than 25 employees at the time of investment.
For the EIS, certain companies and sectors are excluded, including those dealing in land, commodities or stocks.
Although the exclusion list is quite long, it gives you a huge investment. In recent years, app development, music and movie production companies have been popular investments.
Like the EIS, SEIS investments are not traded on an exchange, but you can invest through a professional broker, such as Wealth Club.
Multiple SEIS offers available – individual companies and portfolios. SEIS portfolio incentives can be permanent, so you can invest at any time. Offers from individual companies tend to have fundraising goals. Once this goal is reached, the offer will usually close.
